Terms of Service

1. Agreement to Terms

By accessing or using Birdseye Enterprise ("the Service"), you agree to be bound by these Terms of Service. The Service is operated by BTN PTE LTD ("BTN", "we", "us", or "our"). If you do not agree to these terms, please do not use the Service.

2. Description of Service

Birdseye Enterprise is a collaborative cloud application for system modeling that provides:

• Diagram Editor: Create and edit causal loop diagrams with nodes, links, and multiple views
• Story Editor: Build presentations and slideshows from your diagrams
• Simulator: Run simulations with configurable parameters
• Real-time Collaboration: Work simultaneously with team members on shared projects
• Project Management: Organize your work into projects and files
• Publishing: Publish your diagrams and stories to publicly accessible deployments

3. Account Registration

To use the Service, you must:

• Create an account with a valid email address
• Choose a unique username
• Create a secure password meeting our requirements
• Verify your email address before gaining full access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

BTN reserves the right to restrict account registration to approved email addresses or domains. Access to the Service may require prior authorisation from an administrator.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service's operation
• Upload malicious code or content
• Use the Service to harass, abuse, or harm others
• Share your account credentials with unauthorized parties

5. Content Ownership

Your Content: You retain ownership of all diagrams, stories, simulations, and other content you create using the Service ("Your Content"). By using the Service, you grant BTN a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you.

Our Content: The Service, including its software, design, and documentation, is owned by BTN and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6. Collaboration and Sharing

When you invite collaborators to your projects:

• You grant them access to view and edit files within those projects
• You remain responsible for managing collaborator permissions
• You may remove collaborators or transfer project ownership at any time

When you accept an invitation to collaborate:

• You agree to use the shared content responsibly
• You acknowledge that the project owner may modify or revoke your access

7. Publishing and Guest Deployments

Publishing: The Service allows you to publish diagrams, stories, and other content to publicly accessible deployments. When you publish content:

• You are solely responsible for the accuracy, legality, and appropriateness of all published content
• Published content may be accessible to anyone with the deployment URL or access code
• You grant BTN a license to host and serve your published content for the purpose of operating the deployment

Guest Deployments: BTN may provide guest deployments that allow third parties to access published content via access codes. Regarding guest deployments:

• Access to guest deployments is provided at BTN's sole discretion
• Guest deployments may be removed or made unavailable at any time at BTN's discretion, without prior notice
• Continued availability of a guest deployment requires a specific ongoing agreement with BTN
• BTN is not liable for any loss or disruption resulting from the removal of a guest deployment

8. Data and Backups

While we take reasonable measures to protect and maintain your data:

• We recommend you regularly export and backup important work
• We are not liable for any data loss due to technical failures, user error, or other causes
• You are responsible for maintaining your own copies of critical content

9. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Updates and improvements
• Circumstances beyond our control

10. Account Termination

By You: You may delete your account at any time through the account settings. Upon deletion, your user data and owned projects will be permanently removed.

By Us: We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or if required by law. We will provide notice when reasonably possible.

11. Limitation of Liability

To the maximum extent permitted by law, BTN shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claims related to the Service shall not exceed the amount you paid us (if any) in the twelve months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by posting a notice on the Service or by email. Your continued use of the Service after changes become effective constitutes acceptance of the updated terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
